1. Terms of Service
Welcome to BlockSmith. These Terms and Conditions ("Terms") govern your use of our website, our proprietary AI utilities, and the professional consultancy services provided by BlockSmith LLC ("BlockSmith", "we," "us," or "our"). By accessing our website or engaging our services, you agree to comply with and be bound by these Terms.
Scope of Professional Services
BlockSmith provides high-fidelity tailored professional consultancy in workflow automation, system process optimization, AI integration (Agentic AI), agile transformation, custom software development, and hosting solutions. Our specific service packages and proprietary AI engines include:
- Economy Packages: Single Workflow Zaps and Quick Audits. These are strictly limited to the automation of one (1) core, repetitive task as identified during the initial discovery.
- Core Packages: Foundation, Forge, and SmithOps Suite. These are governed by a specific Statement of Work (SOW) or Proposal.
- Software Development & Hosting: Custom application builds, system integrations, and cloud hosting management. Hosting services are provided via third-party platforms and are subject to their specific up-time and availability terms.
- Add-On Services: Monthly support retainers and additional tool integrations.
- The Strategic Engines: Strategic Alignment, Venture Forge, Growth Forge, SmithOps, Optimization Forge, and Campaign Forge.
- Technical Utilities: Agentic Forge, Evolution Forge, ROI & Revenue Forge, and the Neural Flow Designer.
- Consulting Deliverables: Bespoke system architectures, standard operating procedures (SOPs), and automated logic sequences as defined in your specific Statement of Work (SOW).
We follow a structured Development Lifecycle (Plan, Code, Test, Deploy, Live) to ensure transparency. Specific deliverables for each engagement will be outlined in your individual SOW.
Pricing & Estimates
- Estimates: All prices listed on this website or in marketing materials (e.g., "Foundation at $2,500+") are initial estimates only.
- Final Quotes: A final, binding quote will be provided only after a formal consultation to assess the complexity of your specific requirements.
- Consultations: Introductory consultations are free, but detailed audits (such as the "Quick Audit & Recommendation") are billable services at the rates listed.
- Success-Share Model: For specific high-impact optimization projects, BlockSmith may offer a performance-based compensation structure (See Section 3: Performance-Based Compensation).
- Price Changes: BlockSmith reserves the right to modify pricing for new contracts or standalone toolkit renewals without prior notice.
Payment Processing & Fees
- Payment Processor: All financial transactions and credit card processing are handled via Stripe. BlockSmith does not store your sensitive financial data or credit card numbers on its own servers.
- Processing Fees: Unless explicitly stated otherwise in a Statement of Work, the Client is responsible for all third-party processing fees (e.g., Stripe transaction fees, currency conversion fees, or wire transfer fees) associated with their payments.
- Automatic Renewals: For subscription services or retainers, payments will be automatically processed by Stripe at the start of each billing cycle unless cancelled in accordance with Section 5.
Professional Client Portal
Clients provided with access to the Professional Client Portal are responsible for maintaining the security and confidentiality of their login credentials.
- You are responsible for all activities that occur under your account.
- Access to neural engines and the "Resource Vault" is restricted to authorized users.
- BlockSmith is not liable for unauthorized access resulting from the Client's failure to secure their account or credentials.
- Access may be suspended or terminated for violations of these terms or non-payment of service fees.
Third-Party Service Limitations
Our solutions often integrate with third-party platforms (e.g., Zapier, OpenAI, Google Cloud). BlockSmith LLC is not responsible for service interruptions, API changes, data breaches, or platform deprecations originating from these third-party providers. Repairs needed due to third-party changes after the initial support window will be billed as new work.
Client Responsibilities
To ensure the success of our audits and mapping sessions, you agree to:
- Provide accurate and timely access to internal data, team members, and software environments.
- Participate in required "Discovery & Mapping" sessions.
- Review and approve deliverables during the "Test" phase of our lifecycle before the "Deploy" phase begins.
Intellectual Property (IP) Rights
- Client Ownership: Upon full payment of all fees, the Client is granted ownership of the specific "Custom digital architecture" and workflows configured for their account. Importantly, the Client retains full ownership of all business concepts, ideas, and prototypes generated during Innovation Systems sessions, regardless of the BlockSmith proprietary frameworks used to facilitate their creation.
- BlockSmith IP: BlockSmith LLC retains ownership of all underlying methodologies, pre-existing code blocks, proprietary algorithms, and the "Innovation Systems" process frameworks used to generate your solution. Backward engineering, decompiling, or disassembling any software or proprietary framework offered by BlockSmith LLC is strictly prohibited.
Support and Maintenance
- Support Windows: Initial support periods are defined by your package (e.g., 2 weeks for Foundation, 30 days for Forge, 60 days for SmithOps).
- Retainers: Ongoing support beyond the initial window requires a "Monthly Support Retainer". Without a active retainer, additional work will be billed at our standard hourly rate.
Governing Law
BlockSmith services the Dallas, TX metroplex area for in-person engagements. These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Dallas County, Texas.
2. Privacy Policy
At BlockSmith, we value "Expertise You Can Trust". Your privacy is foundational to our partnership. This policy describes how we collect, use, and protect your business data.
Information We Collect
To provide our "Tailored Solutions", we may collect:
- Contact Information: Name, email, phone number, and business details when you book a consultation.
- Operational Data: During discovery and audits, we collect detailed info about internal workflows, bottlenecks, financial data, and your software stack.
- System Credentials: We may require temporary access or API keys to your existing software tools to perform implementation and integration.
Cookies and Tracking Technologies
We use cookies and similar tracking technologies (such as web beacons and pixels) to track activity on our Service and hold certain information.
- Session Cookies: Used to operate our Service and manage login sessions for the Client Portal.
- Analytics Cookies: Used to track and report website traffic via providers like Google Analytics.
- Browser Settings: You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent.
How We Use Your Information
We use your data strictly to:
- Design and implement custom automation and software solutions.
- Analyze business processes to reduce costs and increase efficiency.
- Configure "AI-Powered Tools" to your specific business data sets.
- Process payments and manage your account.
Third-Party Sharing
We do not sell your data. However, to execute our services, data may be processed by:
- Payment Vendors: Stripe for secure transaction processing.
- Automation Vendors: (e.g., Zapier, Make.com) for workflow execution.
- AI Providers: (e.g., OpenAI, Google Cloud) for processing specific data prompts via custom agents.
- Vetted Subcontractors: Partners who assist in "SmithOps Suite" enterprise implementations.
Data Security & Retention
We employ veteran-led discipline and strategic thinking to protect your data. We use industry-standard encryption and security practices during the "Code," "Test," and "Deploy" phases of our lifecycle. We retain project documentation and maintenance records only as long as necessary to fulfill the support window.
GDPR Data Protection Rights
Every user is entitled to the right to access, rectification, erasure, restrict processing, object to processing, and data portability under certain conditions.
California Privacy Rights (CCPA/CPRA)
If you are a California resident, the CCPA and CPRA provide you with specific rights regarding your personal information, including the right to request disclosure of collected info, request deletion, and opt-out of sharing. BlockSmith LLC does not sell your personal information. If you make a request, we have one month (30 days) to respond.
3. Performance-Based Compensation
In alignment with our commitment to "Investment to Impact," high-complexity optimization engagements may be structured around a value-sharing compensation model.
The Success-Share Protocol (Value-Share Protocol)
Engagements targeting systemic waste reduction or direct revenue acceleration may utilize the following fee structure:
- Base Implementation Fee: A fixed fee required to initialize the neural forge and deploy the initial technical architecture.
- Value-Based Bonus (Savings/Revenue Percentage): A pre-negotiated percentage (typically 10-20%) of verified first-year cost savings or revenue uplift directly attributable to the implemented BlockSmith solutions.
- The "Neural ROI" Clause: For specific SmithOps or Optimization Forge work, we may align up to 50% of the final milestone payment with the projected operational savings or revenue growth identified during the synthesis phase.
Verification & Auditing
Performance metrics are verified through a "Neutral Audit" phase conducted 90 days post-deployment. This audit compares verified historical data benchmarks (pre-optimization) against current-state system performance and metrics.
4. Professional Services Disclaimers
ROI & Earnings Disclaimer
While BlockSmith aims for "Increased Efficiency" and "Sustainable Growth," we do not guarantee specific financial results. Promises of "Clear ROI" and "Measurable Results" are based on past project performance and industry benchmarks. Actual results and business success depend on factors beyond BlockSmith's control, including market conditions and Client execution.
AI Accuracy Disclaimer
We build custom AI agents designed to reason and plan. However, AI can occasionally produce inaccurate results or "hallucinations." BlockSmith is not liable for errors or incorrect decisions made by automated systems. Clients are responsible for auditing and verifying AI-generated outputs before taking critical business actions.
Informational Purposes
All content on this website, including blog posts, case studies, and pricing guides, is for informational purposes only and does not constitute a binding contract until a formal SOW is signed.
5. Refund & Cancellation Policy
Fixed-Price Services
Due to the high-intensity nature of process engineering and consulting, service fees (including 50% upfront deposits) are non-refundable once work has commenced. Fees for "Quick Audit & Recommendation" are non-refundable once the discovery session has commenced. If unsatisfied, we will provide one (1) round of revisions to the final report.
Processing Fee Disclosure
Note on Fees: In the event that a partial or full refund is issued at BlockSmith's discretion, the Stripe processing fees associated with the original transaction are non-refundable. These fees are retained by the payment processor and are the responsibility of the Client.
Retainers & Subscriptions
The "SmithOps Suite" and "Monthly Support Retainers" require a 30-day written notice for cancellation. Fees for the current billing cycle are non-refundable.
Workshops & Training
"Team Training Workshops" may be rescheduled once at no cost if notice is given at least 48 hours in advance. Cancellations with less than 48 hours notice will forfeit 50% of the workshop fee.
Service Interruption & Force Majeure
In instances where service cannot be rendered due to acts of nature (Force Majeure), significant third-party service failures, or other unforeseen events beyond our control, a pro-rated refund may be negotiated. However, payment for all hours worked and expenses incurred up to the point of interruption remains non-refundable.
6. MVP Toolkit Terms of Use
The MVP Toolkit is a proprietary suite of AI-powered strategic engines and digital resources. By subscribing to or purchasing access to the Toolkit, you agree to the following:
- Strategic Engines: Access includes use of the Strategic Alignment, Venture Forge, Growth Forge, SmithOps Engine, Optimization Forge, and Campaign & Asset Forge modules. These tools use high-fidelity AI models) to synthesize business logic and visual assets.
- Neural Energy Tokens & Units: Generations within the engines consume "Energy Tokens" and "Energy Units."
- Tokens/Units are non-refundable and non-transferable.
- Subscription-based units/tokens do not roll over to the next billing cycle.
- Purchased "Top Up" tokens remain active as long as your account is in good standing.
- AI-Generated Content: All strategic outputs, copy, and code suggestions are generated by AI models.
- No Guarantee of Accuracy: AI can produce inaccurate results. You are solely responsible for verifying the technical and legal feasibility of all generated blueprints.
- Non-Deterministic Nature: Identical prompts may yield different results. BlockSmith does not guarantee that specific outputs can be replicated.
- Visual Forge & Logo Ownership: For visual assets (logos, mockups, ad creatives) generated via the Campaign Forge:
- Upon successful purchase and generation, you are granted a non-exclusive license to use these assets for your brand identity.
- Because AI models are trained on public data, BlockSmith cannot guarantee that generated visual assets are unique or eligible for trademark protection. We recommend consulting a trademark attorney.
- Venture Manager: Your venture data (descriptions, audiences, history) is stored in your private Firebase instance. You are responsible for ensuring the accuracy of the context provided.
- Restrictions: You may not use the Toolkit to generate competing consulting products, or resell individual strategic outputs as a standalone service without express written consent.
7. Fair Use & Termination Policy
BlockSmith LLC reserves the right to terminate or suspend any account or access to services at our sole discretion, immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
7.1 Fair Use Policy
Our services and AI strategic engines are intended for legitimate business strategy, optimization, and development purposes. Users must engage with the platform in good faith. Prohibited behaviors under fair use include, but are not limited to:
- Excessive automated querying, "scraping," or bot-driven data extraction from the Client Portal or AI engines.
- Attempting to reverse engineer, decompile, or extract the underlying logic of BlockSmith proprietary frameworks.
- Sharing account credentials with unauthorized third parties or users outside of the registered organization.
7.2 Unlawful Activity & Prohibited Conduct
Engagement in any of the following activities constitutes a material breach of these Terms and will result in immediate termination of access and potential legal action:
- Security Violations: Attempting to bypass security protocols, unauthorized access to other users' data, or any form of hacking directed at BlockSmith infrastructure.
- Content Abuse: Using AI Strategic Engines to generate content that is defamatory, obscene, promotes illegal activities, or violates third-party intellectual property rights.
- Professional Misconduct: Harassment, abusive language, or threatening behavior directed toward BlockSmith consultants, staff, or partners.
- Financial Fraud: Engaging in fraudulent financial transactions, credit card fraud, or chargeback abuse.
- Compliance Violations: Utilizing BlockSmith integrations to violate the terms of service of third-party providers (e.g., Google Cloud, OpenAI, or Zapier policies).
- IP Theft: Unauthorized distribution or reselling of BlockSmith proprietary "Forges," code blocks, or system architectures.
